Professional Activities
Marc practices corporate and commercial law. Prior to joining Duhaime Law, he practiced law at Davies, Ward Phillips & Vineberg LLP, a leading Canadian law firm in Montreal and Baker & McKenzie, one of the world’s premier law firms, in Hong Kong, China. He has extensive practice experience dealing with complex commercial transactions involving businesses located around the world.
Marc’s practice covers corporate and securities, capital raising, financing, public company compliance and reporting, mergers and acquisitions, joint ventures, partnerships, corporate reorganizations, general commercial matters and intellectual property. His clients are in a variety of sectors, including the financial services, real estate, oil and gas, mining, pharmaceutical, information technology, media and entertainment industries.
Representative Work
- Acted for China Investment Corporation, China’s US$200 billion sovereign wealth fund, in connection with its first active investment and direct foreign investment in Russia. CIC, together with Oriental Patron Group, made an investment of US$300 million in Nobel Holdings Investments Limited, a Russian oil group, involving oil and gas exploration and production rights and operations in the Russia’s Komi Republic.
- Acted for the manager of Champion REIT, a public Real Estate Investment Trust listed in Hong Kong, in connection with its US$1.65 billion acquisition of the Langham Place Mall and Office Tower in Hong Kong’s Mongkok district, and the related capital-raising exercise to finance the acquisition (awarded 2008 Hong Kong Deal of the Year – FinanceAsia Awards and 2009 Debt Market Deal of the year – ALB Hong Kong Awards).
- Acted for Matrix Holdings Limited, a company listed in Hong Kong, in connection with its acquisition of a U.S. toy distributor, with operations in jurisdictions around the world, for a consideration of US$23 million.
- Advised a major U.S. multinational in connection with a joint venture involving an important sports figure for the setting up of fitness clubs in China.
- Acted for a Hong Kong company in connection with a joint venture with a U.S. public company for research and development of therapeutic drugs.
- Acted for Surteco AG, based in Frankfurt, Germany, in connection with its acquisition of the Canadian Canplast Group, a Canadian plastics company which has manufacturing facilities in Montreal, Brampton and Greensboro (US). Also involved dealings in Mexico in connection with the sale of Canplast’s Mexico activities.
- Acted for Holiday Group Inc. in connection with the acquisition by Borealis Capital Corp. of a majority interest in Montreal-based Holiday Group Inc. and Florida-based Travelpro International, Inc., two leading North American suppliers of luggage and bags, from Wafra Partners LLC and management shareholders.
- Acted for investors in connection with a $25 million private placement of convertible subordinate debentures of Clearford Industries Inc., a Canadian public company, the proceeds of which were used by Clearford to fund the acquisition of Brooklin Concrete Inc., an Ontario supplier of pre-cast concrete products.
